1. Agreement to Terms

By accessing or using Reg Alerts Pro ("the Service"), you agree to be bound by these Terms of Service. They constitute a legally binding agreement between you and Mabe Media Studios Ltd ("Company", "we", "us"). If you do not agree, do not use the Service.

2. Description of Service

Reg Alerts Pro is a regulatory intelligence platform providing real-time regulatory alerts, compliance management tools, risk registers, and AI-powered insights, delivered as software-as-a-service (SaaS).

Important: Reg Alerts Pro provides information and tools to assist compliance professionals. It does not constitute legal advice. Always consult a qualified legal or compliance professional before making regulatory decisions.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old and authorised to bind your organisation.
• One organisation account may have multiple authorised seat holders as permitted by your plan.
• You must notify us immediately of any unauthorised access to your account.

4. Subscriptions and Payment

• Subscriptions are billed monthly or annually as selected at checkout.
• All fees are quoted in GBP and are exclusive of VAT unless stated otherwise.
• Payments are processed by Stripe. By subscribing, you authorise recurring billing.
• Failure to pay may result in suspension or termination of your account.
• Adding seats mid-cycle will be charged on a pro-rata basis.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

5. Cancellation and Refunds

• You may cancel your subscription at any time via account settings or by contacting us.
• Cancellation takes effect at the end of the current billing period — no pro-rata refunds for unused time.
• Annual subscribers who cancel within 14 days of their initial purchase may request a full refund.
• Refund requests after 14 days are at our discretion.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorised access to the Service or other users' accounts.
• Reverse engineer, decompile, or create derivative works from the Service.
• Resell, sublicense, or share your account access with unauthorised third parties.
• Introduce malicious code, conduct denial-of-service attacks, or scrape the platform.
• Use the AI features to generate content intended to mislead or harm.

7. Intellectual Property

All content, software, design, trademarks, and technology within the Service are the exclusive property of Mabe Media Studios Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your active subscription.

8. Your Data

You retain ownership of all data you input into the Service. You grant us a limited licence to process and store it solely to provide the Service. We will not access your data except as needed for support or as required by law. See our Privacy Policy for full details.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that regulatory information will always be current or complete.

10. Limitation of Liability

Our total liability to you for any claims shall not exceed the fees you paid in the 12 months preceding the claim. In no event shall we be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, data, or goodwill.

11. Indemnification

You agree to indemnify and hold harmless Mabe Media Studios Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your account immediately if you breach these Terms or fail to pay. Upon termination, your right to use the Service ceases and we may delete your data after a 30-day grace period.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
